Terms of Work
These terms apply when you ask AGIAS to build something. They are short because the work itself is recorded: every decision goes into a ledger you receive. Where these terms and a written agreement for your project differ, the written agreement wins.
1. What you can ask for
- GENERATIVE SYSTEMS: a machine that keeps generating for you (images, motion, text, data) on a schedule you set.
- NIGHTLY RESEARCH: a machine that scans your field at night and keeps a reasoned ledger of what to adopt and what to skip.
- AUTONOMOUS OPERATIONS: a secretary AI, nightly jobs, and a window that receives requests, running within a budget you set.
2. How a request runs
- You send what you want to make, in plain words.
- We set the direction. The secretary AI drafts a specification. You confirm it. Work does not start before that.
- You receive a running prototype, not a slide.
- You adjust in chat. Every decision is recorded in the ledger before the work it authorises begins.
- Delivery: the running machine and its ledger. A nightly check after delivery can be built on request; its fee is agreed when the project is agreed.
Changes after the specification is confirmed may change the fee and the schedule. We tell you before we continue.
3. How the work is done
AI systems build under human direction. Humans decide what to build and when to stop. You are told which models contributed. Only the AI secretary communicates with you. Nothing is published without your approval.
4. Fees and payment
- The fee and the payment schedule are agreed in writing (email is fine) before work starts.
- Money moves only with human approval on our side, and we never charge you without your written agreement.
- Invoices are due within 30 days unless agreed otherwise. Bank charges are borne by the payer.
- Subscriptions to AI platforms and other services the machine needs (accounts, API plans, registrations) are taken out and paid by you, in your name. We tell you what is needed before you subscribe.
5. Ownership
- Once the agreed fee is paid, you own the delivered machine and its ledger.
- We keep the right to reuse general techniques, tools, and code that are not specific to you.
- Open-source and third-party components stay under their own licenses. Output produced with third-party AI services is subject to those services' terms.
- You confirm that the material you give us may lawfully be used for your project.
6. Confidentiality
What you tell us about your business stays between us, except as needed to do the work (the AI services and providers named in the Privacy Policy) or as required by law. We may name you as a client only with your permission.
7. Warranty and liability
- We deliver working software. Defects you report within 14 days of delivery are corrected at no charge. Anything else is agreed per project.
- Beyond that, the machine is delivered as it is. AI-based systems can produce wrong or unexpected output; you decide where it is used. Do not use it where failure could endanger life, health, or safety.
- Our total liability for a project is limited to the fee paid for that project, and applies only to defects in what we delivered. We are not liable for indirect or consequential loss, for lost profit, or for the output of AI systems in the use you chose for them.
8. Ending a project
Either side can end a project with written notice. You pay for the work done up to that point, and you receive what was built and its ledger so far.
9. Law
These terms are governed by the laws of Japan. Disputes go to the Tokyo District Court as the exclusive court of first instance. The Japanese text of these terms prevails if the two versions differ.

ご依頼の条件
この条件は、AGIASに何かを作るよう依頼いただくときに適用されます。短いのは、仕事そのものが記録されるからです。すべての判断は、お渡しする台帳に残ります。この条件と、案件ごとの書面の合意が異なるときは、書面の合意が優先します。
1. 頼めること
- GENERATIVE SYSTEMS：決めた周期で生成し続ける機械（画像・動画・文章・データ）。
- NIGHTLY RESEARCH：夜間に専門分野を走査し、取り入れるべきものと見送るべきものを理由つきで台帳に残す機械。
- AUTONOMOUS OPERATIONS：秘書AI、夜間ジョブ、依頼を受け取る窓口を、決めた予算内で動かす仕組み。
2. 依頼の流れ
- 作りたいものを簡単な文章で送ってください。
- 当方が方向性を決め、秘書AIが仕様案を書き、ご利用者が確認します。確認前に製作は始めません。
- スライドではなく、動く試作をお届けします。
- チャットで調整します。すべての判断は、それにもとづく作業を始める前に台帳へ記録します。
- 納品：動く機械と、その台帳。納品後の夜間点検を組むこともできます。その費用は案件の合意時に決めます。
仕様の確認後の変更は、料金と期間が変わることがあります。続ける前にお知らせします。
3. 仕事の進め方
AIは人間の指示のもとで製作します。何を作るか、いつ止めるかは人間が決めます。関わったモデルはお伝えします。ご利用者と話すのは秘書AIだけです。ご利用者の承認なしに公開することはありません。
4. 料金と支払い
- 料金と支払いの時期は、製作前に書面（メールで可）で合意します。
- 当方の側で金銭が動くときは必ず人間が承認します。書面の合意なしに請求することはありません。
- 請求書の支払期限は、別途の合意がなければ30日以内です。振込手数料は支払う側の負担とします。
- 機械に必要なAIプラットフォームやサービスの契約（アカウント、APIの料金プラン、各種の登録）は、お客様ご自身の名義で行い、お支払いいただきます。契約の前に、何が必要かをお伝えします。
5. 権利
- 合意した料金のお支払い後、納品した機械とその台帳はご利用者のものです。
- ご利用者固有ではない一般的な技法・道具・コードを、当方が再利用する権利は残ります。
- オープンソースや第三者の部品は、それぞれのライセンスに従います。第三者のAIサービスで生成した出力は、そのサービスの規約に従います。
- お預かりする素材は、案件に適法に使えるものであることをご確認ください。
6. 秘密保持
お聞きした事業の内容は、仕事に必要な範囲（プライバシーポリシーに記載のAIサービスと事業者）と法令に基づく場合を除き、外に出しません。お客様としてお名前を掲げるのは、許可をいただいた場合だけです。
7. 保証と責任
- 動く状態で納品します。納品後14日以内にご報告いただいた不具合は無償で直します。それ以外は案件ごとの合意によります。
- それ以降は、機械は現状のままお渡しするものとします。AIを使う仕組みは、誤った出力や想定外の出力をすることがあります。どこで使うかはご利用者が決めてください。壊れたときに生命・健康・安全が危険にさらされる用途には使わないでください。
- 当方の責任の上限は、その案件でお支払いいただいた料金の額とし、納品物の不具合に限ります。間接損害、逸失利益、およびAIを使う仕組みの出力をどう使うかの結果については責任を負いません。
8. 途中での終了
どちらの側からも、書面の通知で案件を終えることができます。その時点までの仕事の分をお支払いいただき、それまでに作ったものと台帳をお渡しします。
9. 準拠法
この条件は日本法に従います。紛争は東京地方裁判所を第一審の専属的合意管轄裁判所とします。英語版と日本語版が異なるときは日本語版を優先します。
